‘Terms and Conditions’

1. Interpretation

1.1 Definitions

Administrator - Influitive Corporation 111 Peter Street, Unit 403, Toronto, Canada / https://influitive.com/ the Scheme administrator and owner of the Website

Badges - badges earned through participation in the Scheme which will be assigned to your profile on completion of relevant qualifying activities

Confidential Information - information relating to our operations, processes, plans, product information, know-how, designs, trade secrets, software, market opportunities and customers

Group - any subsidiary or holding company from time to time of Aico Limited and any subsidiary from time to time of a holding company of that Aico Limited.

Membership Levels - designations awarded to your Profile by us to demonstrate your ongoing participation in the Scheme.

Online Community - any online interactive services provided by us on the website including, without limitation, online training modules, questionnaires, chat rooms and bulletin boards.

Profile - your user profile on the Website

Reward Points - points earned through participation in the Scheme

Rewards - items to be redeemed through the exchange of Reward Points

Scheme - Aico Installer Community Scheme

Terms and Conditions - these terms and conditions, applying to the Scheme, as amended from time to time

2. Acceptance of these Terms

2.1 Please read these Terms and Conditions. These apply to the Scheme.

2.2 By accessing the Website or participating in the Scheme, you agree to be bound by these Terms and Conditions.

2.3 We may amend these Terms and Conditions, Reward Points or Rewards in whole or in part, at any time, with or without notice, even though changes may affect the value of the Reward Points accumulated.

2.4 The latest version of these Terms and Conditions may be found on the Website. If you continue to participate in the Scheme after we have made amendments to the Terms and Conditions, you will been deemed to have accepted these amendments. It is your responsibility to maintain its knowledge of these terms and conditions.

2.5 Any failure to follow these Terms and Conditions, any abuse of the Scheme , the Website or on the Online Community, any conduct detrimental to the interests of either us or the Administrator, or any misrepresentation of any information furnished to us may result your Profile being immediately suspended, the termination of your participation in the Scheme, the cancellation of accrued Reward Points, Rewards or benefits, or both.

3. Eligibility

3.1 The Scheme is only open to you if you:

3.1.1 are a resident in the UK or the Republic of Ireland;

3.1.2 are aged 16 years or over; and

3.1.3 have completed the Core module of Aico Expert Installer training or have been invited by Aico Ltd

3.2 The Scheme is not open to employees of Aico Limited or our Group or their immediate families, anyone professionally involved in the development or administration of the Scheme.

3.3 In participating in the Scheme, you confirm that you are eligible to do so and eligible to claim any Rewards. We may require you to provide proof that you are eligible to enter the competition.

3.4 We will not accept participants whose Profiles are:

3.4.1 automatically generated by computer; or

3.4.2 completed by third parties or in bulk;

3.5 There is a limit of one Profile per person. Profiles created on behalf of another person will not be accepted and joint submissions are not allowed.

3.6 We reserve all rights to exclude you from participating in the Scheme if your conduct is contrary to the spirit or intention of the Scheme as detailed in the code of conduct, which can be found on the website.

4. Changes to your Profile

4.1 You agree to keep us informed In the event of any changes to your personal details by updating your Profile accordingly. We cannot be held responsible for loss of any rights incurred through the Scheme as a result of out-of-date, incorrect or inaccurate details.

5. The Scheme

5.1 The Scheme, Reward Points and Rewards are offered at our discretion.

5.2 The Scheme runs from 1 May 2020 and shall continue indefinitely or until we decide to terminate it.

6. Reward Points

6.1 Subject to these Terms and Conditions and once confirmed by us, you will be able to accrue Reward Points, which can be redeemed for Rewards.

6.2 The following is a non-exhaustive list of qualifying activities which you may participate in to earn Reward Points:

6.2.1 Signing up to the Scheme;

6.2.2 Completing your Profile in full;

6.2.3 Completing a valid, participating Aico Limited Expert Installer online training challenge;

6.2.4 Completing a questionnaire or poll on the Website;

6.2.5 Posting within the Online Community;

6.2.6 Attending valid, participating Aico Limited event or training;

6.2.7 Visiting the Aico Limited stand at a valid, participating exhibition;

6.2.8 Positively engaging with Aico Limited on social media;

6.3 Reward Points will be earned by you based on the qualifying activity. We may in our sole discretion decide the qualifying activities, the level of Reward Points attributable to the activity and award additional Reward Points in connection with particular activities.

6.4 Completion of individual or cumulative relevant qualifying activities may also earn Badges, which will be recognised on your Profile. Badges are non-redeemable and do not have a value.

6.5 We may, at our discretion, limit the number or type of qualifying activity you may enter or reject or disqualify you from participating in certain activities. We reserve the right to screen, verify and / or monitor any information you submit in your participation in a qualifying activity.

6.6 The amount of Reward Points earned / Badges awarded may change and will vary depending on the activity engaged in.

6.7 You may opt to either:

6.7.1 save Reward Points awarded for redemption at a later date; or

6.7.2 exchange some or all of the Reward Points earned for Rewards through the Website.

6.8 Points cannot be redeemed anywhere other than the Website. Reward Points cannot be exchanged for cash or any other payment or Aico Limited products.

6.9 Reward Points are personal to you, are not transferable and cannot be shared, sold, exchanged, bought or traded in any way. You may not pool or combine points with any other person in order to redeem Rewards.

6.10 We reserve the right to amend the balance of your Reward Points without notice to you if, for example, Reward Points have been incorrectly added to your Profile in error.

6.11 Reward Points earned or transacted may be audited and in the event that an audit reveals discrepancies or possible violations, the processing of further Reward Points or redemption requests may be delayed pending completion of the audit and pending the outcome of any corrections to be applied.

7. Rewards

7.1 The following is a non-exhaustive list of Rewards that may, at any time, be available for you to redeem your Rewards Points against:

7.1.1 Aico Limited branded merchandise;

7.1.2 food / beverage vouchers;

7.1.3 tickets to a relevant sporting events;

7.1.4 donations to charity;

7.1.5 advertisement or promotion on social media;

7.1.6 use of your information in our case studies and promotions;

7.2 We reserve the right to remove or include any Reward from the range at our discretion and you may not rely upon the continued availability of a reward category or reward item.

7.3 Rewards are subject to availability while supplies last. In the case of a Reward item not being available, we will contact you to offer a replacement item of similar value. If you do not wish to accept the replacement item, the original value of the Reward Points deducted from your Profile will be re-credited.

7.4 Any tangible Reward may be collected from our premises at the following address Maesbury Road, Oswestry, Shropshire, England, SY10 8NR or delivered to you, if agreed to by us, in writing following you being informed that the Reward is available.

7.5 Once the Reward has been received by you, provided there is no damage you accept all risks for the Reward.

7.6 Rewards, once chosen, can only be changed if the you contact installer.community@aico.co.uk within 24 hours of the redemption. If you wish to discuss, organise or obtain information about how to return, exchange or refund of any Reward, please contact us.

8. Membership Levels

8.1 In addition to the exchange of Reward Points for Reward, the Scheme provides a tier-based designation determined by the number of Rewards points and / or Badges you have earned through qualifying activities, beginning on the date when you create your Profile.

8.2 There are 4 tiers with associated benefits: Your continued participation in the Scheme and the cumulative accrual of Reward Points (may entitle you participate in and obtain the following tiered Membership Levels:

8.2.1 Expert Installer

8.2.2 Expert Installer Bronze Level;

8.2.3 Expert Installer Silver Level;

8.2.4 Expert Installer Gold Level;

8.3 Eligibility to each Membership Levels will depend on the applicable level of Reward Points credited to your Profile (inclusive of any Reward Points previously exchanged for Rewards) or Badges assigned to your Profile.

8.4 Your Membership Level will be shown on your Profile and may be used in any additional case studies, promotional or marketing activity in order to publicise your achieved Membership Level.

8.5 Your Membership Level may entitle you to be eligible for particular exclusive Rewards or qualifying activities. Certain Rewards are based on Membership Level achieved and you are eligible for these Rewards while you are in that Membership Level. If you move up or down a Membership Level, your Rewards may vary accordingly

8.6 Once you attain a particular Membership Level, it will remain in effect for duration of the scheme

8.7 The award of a Membership Levels is at our sole discretion and we may, from time to time, change the number of Reward Points / Badges required to qualify for each Membership Level. We reserve the right to remove or include any Membership Level designation from your Profile and, if so removed, you may not hold yourself out as having been attributed a particular Membership Level.

8.8 Profiles may not be combined to achieve upgrades on your Membership Level.

9. Termination

9.1 We may end, amend, modify, cancel or withdraw the Scheme at any time without notice.

9.2 In the event of the Scheme’s termination, all Reward Points must be redeemed with 3 months following the end of the Scheme.

10. Website and Online Community

10.1 You may use the Website and Online Community only for lawful purposes in accordance with these Terms and Conditions and any applicable Administrator website terms of use.

10.2 You may not use the Website or Online Community:

10.2.1 in any way that breaches any applicable local, national or international law or regulation.

10.2.2 in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.

10.2.3 for the purpose of harming or attempting to harm any person in any way.

10.2.4 to bully, insult, intimidate or humiliate any person.

10.2.5 to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

10.2.6 to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

10.3 You also agree:

10.3.1 not to reproduce, duplicate, copy or re-sell any part of the Website or Online Community

10.3.2 not to access without authority, interfere with, damage or disrupt:

10.3.2.1 any part of the Website or Online Community;

10.3.2.2 any equipment or network on which the Website or Online Community is stored;

10.3.2.3 any software used in the provision of the Website or Online Community; or

10.3.2.4 any equipment or network or software owned or used by any third party, including the Administrator.

11. Data Protection

11.1 We may record, retain and use for monitoring, statistical analysis or marketing purposes information on or from your access to and use of the Website and the Scheme.

11.2 In addition, any personal data collected by us may be processed as set out in our Privacy Policy which can be found by following this link https://www.aico.co.uk/gdpr-privacy-statement/.

11.3 Personal data may also be collected by the Administrator as part of its administration of the Scheme. You should familiarise yourself with any applicable Administrator Privacy Policy.

12. General

12.1 As part of your participation in the Scheme, you may be a party to Confidential Information. You shall be responsible for protecting the confidentiality of the Confidential Information and shall use your best endeavours to prevent the use or communication of any Confidential Information by any person, company or organisation except as required by law or as authorised by us.

12.2 We may transfer our rights and obligations under these Terms and Conditions at any time without your consent;

12.3 We cannot guarantee the performance of any third party and we shall not be liable for any act or default of a third party.

12.4 We are not responsible for administration of the Website and any failure of any of our promotional partners, including the Administrator.

12.5 Insofar as is permitted by law, Aico Limited, its Group, agents or distributors will not in any circumstances be responsible or liable to compensate you or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Reward except where it is caused by the negligence of Aico Limited, its agents or distributors or that of their employees. Your statutory rights are not affected.

12.6 These Terms and Conditions are governed by the laws of England and Wales. Any dispute shall be resolved in the Courts of England and Wales.
